Bidali One Rewards Program Terms

These Bidali One Rewards Program Terms (the "Program Terms") explain how the Bidali One Rewards Program (the "Program") works. The Program is offered by Bidali Inc., #300 - 1550 5 St SW, Calgary, Alberta T2R 1K3, Canada ("Bidali", "we", "us" and "our"), to people who hold a Bidali account ("you" and "your").

The Program is part of the Bidali services and is governed by our Terms of Use, which form part of these Program Terms. Our Privacy Policy explains how we handle your personal information, and our Restricted Use Policy applies to everything you do with your account. If these Program Terms and the Terms of Use conflict on a matter specific to Rewards, these Program Terms control.

By earning or using Rewards, you agree to these Program Terms.

1. Key terms

  • "Bidali balance" means the prepaid stored value held in your Bidali account, including your Bidali One balance. It is prepaid platform credit: it can be used only to buy gift cards in the Bidali gift card catalogue in the Bidali app and on bidali.com (the "Bidali store").
  • "Bidali One Rewards" or "Rewards" (shown in the Bidali app and on our website as "cash back") means the reward you earn on a qualifying purchase under the Program. Rewards are not cash and are not redeemable for cash. Once credited, Rewards become part of your Bidali balance.
  • "Rewards rate" means the percentage of a qualifying purchase that you earn as Rewards.
  • "Qualifying purchase" means a gift card purchase that meets the conditions in Section 3.

2. Eligibility

You can take part in the Program if:

  • you hold a Bidali account that you opened under the Terms of Use, including meeting its age and eligibility requirements;
  • your account is in good standing, meaning it is not suspended, restricted or under review, and you have completed any identity verification we have asked for; and
  • you live in a country where we offer the Bidali services and are not subject to any restriction in our Restricted Use Policy.

Each person may hold only one Bidali account for the purpose of earning Rewards. Rewards earned through a duplicate or shared account may be reversed under Section 5.

Business accounts, accounts that buy through the Bidali API, and bulk or corporate orders earn Rewards only where their own agreement with Bidali says so.

3. How you earn Rewards

3.1 Qualifying purchases

You earn Rewards when you buy a gift card in the Bidali store from a brand that offers Rewards, while signed in to your eligible Bidali account.

3.2 Rates vary by brand

Rewards rates are set by brand and can differ by country, gift card amount and payment method. The rate that applies is shown on the gift card, and again at checkout, before you complete your purchase. Not every brand offers Rewards, and a brand's rate can change at any time. The rate shown when you complete your purchase is the rate you earn on that purchase.

3.3 How the amount is calculated

Rewards are calculated as the rewards rate multiplied by the price of the gift card you buy, in the currency of your Bidali balance. Fees, taxes and currency-conversion amounts do not earn Rewards. Amounts are rounded down to the nearest cent.

3.4 What does not earn Rewards

Unless we say otherwise for a specific offer, the following do not earn Rewards:

  • adding funds to your Bidali balance (a top-up), or loading a Bidali One balance;
  • transfers of balance between Bidali accounts;
  • gift card purchases from brands that do not show a rewards rate at checkout;
  • purchases that are refunded, charged back, cancelled or reversed; and
  • purchases made in breach of the Terms of Use, the Restricted Use Policy or these Program Terms.

3.5 Promotional offers

From time to time we may offer a higher rate, a bonus amount or another limited-time reward (a "promotional offer"). A promotional offer may be limited to certain brands, dates, amounts, countries or customers (for example, new customers only), and may have a cap on the total you can earn. We will show the conditions of each promotional offer where it is presented. If a promotional offer's conditions conflict with these Program Terms, the offer's conditions control for that offer. Promotional offers cannot be combined unless the offer says they can.

4. How and when Rewards are credited

4.1 Pending rewards

After a qualifying purchase, your Rewards show as pending in your Bidali account. Pending rewards cannot be spent or transferred.

4.2 Crediting

We credit your Rewards to your Bidali balance once the purchase settles, meaning payment for it has been received and cleared and the gift card has been delivered. How long this takes depends on the payment method. Purchases paid from your Bidali balance usually settle immediately. Card, bank and other payments can take several business days, and we may hold a purchase longer if we need to review it.

4.3 Using credited rewards

Once credited, Rewards are part of your Bidali balance and follow the rules for your Bidali balance in the Terms of Use. You can:

  • use them, alone or together with another payment method, to buy gift cards in the Bidali store; and
  • transfer them to another Bidali account, subject to the limits and verification rules in the Terms of Use.

4.4 Errors

If you believe Rewards were not credited, or were credited in the wrong amount, contact us within 90 days of the purchase (see Section 12). We will review the purchase and correct any error we find.

5. Reversals and adjustments

5.1 When we reverse Rewards

We may reverse, in whole or in part, Rewards earned on a purchase that is:

  • refunded, in whole or in part;
  • charged back or disputed with your bank or card issuer;
  • cancelled, or not delivered or paid for in full; or
  • found to be fraudulent, unauthorized or made in breach of these Program Terms, the Terms of Use or the Restricted Use Policy.

We may also correct Rewards credited in error, for example through a wrong rate or a system fault.

5.2 How reversals are applied

We deduct reversed Rewards from your pending rewards first, and then from your Bidali balance. If your balance is not enough to cover the reversal, we may deduct the difference from a refund we owe you on the same purchase, or from future Rewards, and we may restrict your account until the amount is recovered.

5.3 Abuse of the Program

We may withhold or reverse Rewards, and suspend your participation in the Program, if we reasonably believe you have tried to earn Rewards in a way the Program is not intended to allow. Examples include buying and refunding gift cards to collect rewards, using multiple or shared accounts, reselling gift cards bought to earn rewards in breach of the Terms of Use, or using automated tools to place orders. Where we do so, we will tell you, and you may ask us to review the decision by contacting us (see Section 12).

6. No cash value

Rewards are a discount on gift card purchases, delivered as Bidali balance. They are not money, a deposit or a gift card, and they do not earn interest. Rewards and the rest of your Bidali balance:

  • cannot be withdrawn as cash;
  • cannot be paid out to a bank account, card, PayPal or any other payment service; and
  • cannot be exchanged for anything other than gift cards in the Bidali store,

except where the law requires otherwise. Rewards cannot be bought or sold.

7. Account closure

If you close your Bidali account, any pending Rewards are cancelled. Rewards that have already been credited to your Bidali balance are treated like the rest of your balance under the Terms of Use, so use or transfer them before you close your account.

If we close or suspend your account under the Terms of Use, pending Rewards are cancelled, and Rewards connected with the conduct that led to the closure may be reversed under Section 5.

8. Changes to the Program and these terms

8.1 Rates and offers

We may change Rewards rates, add or remove brands, and start or end promotional offers at any time. Changes apply to purchases made after the change is shown in the Bidali store. They do not affect Rewards on purchases you have already completed.

8.2 These Program Terms

We may update these Program Terms. We will post the updated version on this page with a new date, and where a change materially affects you we will also tell you by email or in the Bidali app before it takes effect. If you continue to use the Program after a change takes effect, the updated terms apply. If you do not agree, you may stop taking part in the Program at any time.

8.3 Ending the Program

We may suspend or end the Program, in whole or in part, by posting a notice on this page and in the Bidali app. Purchases completed before the end date still earn Rewards under the terms that applied when they were made. Rewards already credited to your Bidali balance stay usable under the Terms of Use.

9. Taxes

In most cases, Rewards on personal purchases are a reduction in the price you pay, not income. Tax treatment depends on your circumstances and on where you live, and may differ if you buy gift cards for a business. You are responsible for any taxes that apply to you. We do not provide tax advice, and we may issue tax forms or report amounts where the law requires us to.

10. Disclaimers and liability

The Program is provided on the basis described in the disclaimers and limitations of liability in the Terms of Use, which apply to Rewards in the same way they apply to the rest of the Bidali services. To the extent the law allows, our total liability to you relating to the Program is limited to the amount of Rewards you earned and did not receive.

The gift cards you buy are issued by their brands and are subject to each brand's own terms. Questions about using a gift card at a brand are covered by that brand's terms and by the Terms of Use.

Nothing in these Program Terms limits any right you have under the consumer protection laws of the province, state or country where you live that cannot be limited by agreement.

11. Governing law and disputes

These Program Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Any dispute about Rewards or the Program is resolved under the complaints and dispute resolution provisions of the Terms of Use.
